Key Points
The first year after an exit is about protecting the proceeds and planning the tax bill, with new investments coming only after a written plan is in place.
FDIC insurance covers up to $250,000 per depositor, per insured bank, for each account ownership category, so a large sale usually needs to be spread out.
In the U.S., most net long-term capital gains are taxed at 0%, 15% or 20%, depending on taxable income. Different rules can apply to parts of a business sale, and a 3.8% net investment income tax may also apply.
For qualifying Canadian dispositions in 2025, the lifetime capital gains exemption limit was C$1.25 million, subject to eligibility and the seller’s remaining exemption. Check the limit and rules for the actual year of sale.
Selling an ecommerce business you built from nothing is one of the biggest financial moments of your life, and the smartest first move is usually a patient one. Park the money safely, plan for the tax bill, write down what the money needs to do for your family, and only then start investing it.
Family offices use structured planning to manage substantial wealth, and founders can borrow that approach at an appropriate scale. Tacita Capital, a Toronto-based multi-family office founded in 2005, describes its services as tax-conscious portfolio and wealth management for affluent Canadian families. An adviser’s location, registration, fees and client requirements should fit your circumstances.
Step One: Park the Money Somewhere Boring
The wire lands, and the temptation to do something with it starts the same day. A few months in safe, liquid accounts gives you time to think clearly before any long-term decisions are made.
Deposit insurance limits matter at this stage. The Federal Deposit Insurance Corporation insures deposits up to $250,000 per depositor, per insured bank, for each account ownership category. For a large balance, verify the coverage at each bank before moving funds. Opening several accounts in the same ownership category at one bank does not multiply the insurance limit. Different ownership categories have specific requirements, and not every investment sold by a bank is an insured deposit.
Step Two: Get Ahead of the Tax Bill
Taxes are often one of the largest costs of an exit, and much of the outcome depends on decisions made around closing. According to the Internal Revenue Service, most net long-term capital gains are taxed at 0%, 15% or 20%, depending on taxable income. A gain on a capital asset held for more than 1 year is generally long-term, but a business sale can include inventory, depreciable assets and other components with different tax treatment. Do not assume the entire sale price qualifies for a capital gains rate.
The 3.8% net investment income tax may also apply. For individuals, it is calculated on the lesser of net investment income or the amount by which modified adjusted gross income exceeds the applicable threshold, including $200,000 for single filers and $250,000 for married couples filing jointly. The treatment of business-sale gains depends on the assets, ownership and activity involved; crossing the income threshold does not make every dollar of proceeds subject to this tax.
A Note for Canadian Sellers
Canadian founders may have another planning tool. The Canada Revenue Agency describes the lifetime capital gains deduction for eligible gains on qualifying property, including qualified small business corporation shares. The exemption limit for qualifying dispositions in 2025 was C$1.25 million; eligibility, prior claims and the actual year of disposition matter. An ecommerce asset sale does not automatically qualify. Ask a Canadian tax professional to check the share-ownership, asset-use and residency requirements before relying on the exemption.
Step Three: Write the Plan Before You Invest
Most founders are used to making fast decisions, and that instinct can work against them after an exit. A written plan answers the questions the money has to serve, starting with how much the family needs each year and how much risk the portfolio can carry.
Family offices often put this into an investment policy statement, a short document that sets the goals, the risk limits and the review schedule. With that framework in place, each investment decision becomes a step in a long-term plan, and the portfolio is rebalanced on a regular schedule that the family agreed to in advance.
Step Four: Check Every Adviser You Meet
A successful exit tends to bring a wave of introductions to advisers, funds and new deals. A few minutes of research before any meeting is time well spent.
The SEC's Investor.gov search tool lets you check an investment professional's registration and disciplinary history for free. It is a simple habit that protects the capital you worked so hard to build.
Step Five: Protect What You Built
New wealth deserves updated paperwork. Reviewing your will, powers of attorney, account beneficiaries and insurance coverage helps make sure the proceeds pass to the people you intend, in the way you intend.
Many founders also take this moment to talk with their families about values and expectations. Those conversations often shape the plan just as much as the numbers do.
Giving the Next Chapter a Strong Start
Selling your business is a real achievement, and a calm first year sets the tone for everything that follows. With the money protected, the taxes planned and a clear written strategy in place, founders can move into their next chapter with confidence.
