I’ve been a digital nomad for over 10 years, running my E-Commerce Paradise business from places like Chiang Mai, Bangkok, Bali, and Los Angeles. And one of the first things I always tell people in my situation is this: get your LLC set up properly from the start, because trying to fix it later while you’re in a different time zone is a real pain in the butt.
The challenge for digital nomads is that most LLC formation services are designed for people with a fixed US address, a local bank branch, and easy access to notaries and government offices. When you’re location independent, you need a formation service that handles everything remotely, includes a registered agent, and ideally offers a virtual address so you’re not listing a foreign apartment on your business documents. In this guide I’m going to break down exactly which LLC formation services work best for digital nomads, which states to form in, and how to set everything up without ever setting foot in a US government office. Let’s get into it.
Why Digital Nomads Need a US LLC
Whether you’re dropshipping high-ticket products, running an affiliate site, or building a SaaS business from a beach in Portugal, having a US LLC gives you several advantages that are hard to replicate with a foreign business entity.
Credibility with US suppliers and banks. If you’re building a high-ticket dropshipping business, you need authorized dealer agreements with US manufacturers. Almost all of them want to work with a US business entity. Having an LLC with an EIN (Employer Identification Number) makes you look like a real, established business because you are one.
US business bank accounts are another huge benefit. Services like Mercury, Relay, and traditional banks all require a US business entity. Without an LLC, you’re stuck using personal accounts or foreign business accounts that charge high fees for USD transactions. A US bank account also makes it much easier to accept payments through Shopify Payments and other US-based processors.
Personal liability protection is the legal reason for forming an LLC. Your personal assets (savings, investments, personal property) are separated from your business liabilities. If someone sues your ecommerce store, they can’t come after your personal bank account. This protection is especially valuable when you’re selling high-ticket items where order values can be $2,000 to $10,000 or more.
Tax flexibility matters too. A single-member LLC is treated as a “disregarded entity” by the IRS, meaning profits pass through to your personal tax return. Depending on your residency situation and the tax treaties between the US and wherever you’re living, this can be advantageous. Talk to a tax professional who specializes in expat taxes, but the LLC structure gives you the flexibility to optimize your situation.
What to Look for in an LLC Formation Service as a Digital Nomad
Not every formation service is built for people who aren’t physically in the United States. Here’s what actually matters when you’re choosing one from abroad.
100% remote process. You should be able to complete the entire formation without visiting a US office, mailing physical documents, or making phone calls during US business hours. Everything should be doable online, from any time zone. Some services still require wet signatures on certain documents, which is a dealbreaker when you’re in Southeast Asia.
Registered agent service included. Every LLC needs a registered agent with a physical US address in the state of formation. As a digital nomad, you obviously can’t serve as your own registered agent. The formation service should either include registered agent service or offer it as an affordable add-on. This is non-negotiable.
Virtual business address. You need a real US street address for your LLC, and your Airbnb in Lisbon doesn’t qualify. The best formation services provide a business address that appears on your state filings, keeping your personal address (wherever that may be) completely off the public record. EIN filing assistance. Getting an EIN from the IRS is free but can be tricky from outside the US. The online application sometimes doesn’t work with foreign addresses, and the fax/mail method takes weeks. A good formation service handles this for you or walks you through the process clearly.
Ongoing compliance support. LLCs have annual reports, franchise taxes (in some states), and other ongoing requirements. When you’re traveling, it’s easy to miss a deadline and end up with your LLC administratively dissolved. The best services send reminders and can file annual reports on your behalf.

I’ve used or researched every major formation service, and these are the ones that actually work well for location-independent entrepreneurs. I’m ranking them based on how well they handle the remote formation process, not just their general features.

Northwest Registered Agent is my top pick for digital nomads, and it’s not even close. Their entire business model is built around privacy and keeping your personal information off public records, which is exactly what a digital nomad needs.
What makes Northwest stand out is that they use their own address on all your state filings by default. Your personal address never appears on any public document. For a digital nomad who might not even have a permanent US address, this is incredibly valuable. You don’t have to explain why your LLC’s address is a hostel in Bali.

LegalZoom’s formation process is fully online, and they have decades of experience forming businesses for people in all kinds of situations. Best State to Form Your LLC as a Digital Nomad
This is one of the most common questions I get from nomads, and the answer depends on your specific situation. But for most digital nomads running online businesses, Wyoming is the clear winner.
Wyoming offers no state income tax, low filing fees ($100 to form, $60 annual report), strong privacy protections (no member names required on public filings), and excellent asset protection through its charging order statutes. According to the Wyoming LLC Attorney resource, Wyoming has been refining its LLC statutes for decades and offers some of the most business-friendly laws in the country.
South Dakota is another excellent option with no state income tax and similarly low fees. It’s particularly popular with nomads who use it as their “home base” state for driver’s licenses and vehicle registrations as well. The South Dakota Secretary of State’s office makes the formation process straightforward.

How to Set Up Your LLC as a Digital Nomad: Step by Step
Here’s the exact process I recommend. You can complete all of this from anywhere in the world with an internet connection.
Step 1: Choose your state. Wyoming for most people. South Dakota if you also want to establish residency there for driver’s license and vehicle registration purposes.
Step 2: Pick your formation service. Northwest Registered Agent if privacy is your top priority. Bizee if you want the lowest cost. Either way, make sure registered agent service is included.
Step 3: File your LLC. The formation service handles this. You’ll provide your LLC name, choose a registered agent, and provide basic information. The whole process takes 15 to 20 minutes online.
Step 4: Get your EIN. Apply through the IRS website (free) or have your formation service handle it. The EIN is your business’s tax ID number and you need it for opening bank accounts and filing taxes. If you’re outside the US, the online application may not work, so your formation service can file by fax on your behalf.
Step 5: Open a business bank account. Mercury and Relay are popular with digital nomads because they allow remote account opening. Step 6: Get a virtual mailbox. Use a service like Traveling Mailbox or Anytime Mailbox to get a real US street address for business correspondence. This is separate from your registered agent address and gives you a place to receive bank statements, government notices, and supplier correspondence.

Common Mistakes Digital Nomads Make With LLC Formation
I’ve seen these mistakes hundreds of times in my coaching practice, and they’re all avoidable.
Using your foreign address on LLC filings. This raises red flags with banks, suppliers, and sometimes even the state itself. Always use your registered agent’s address or a US virtual mailbox address on your LLC documents. Your apartment in Bangkok should never appear on any US business filing.
Skipping the registered agent service. Some nomads think they can use a friend’s address or a family member as their registered agent. The problem is that a registered agent must be available at that address during business hours to accept legal documents. If your mom is at work when a process server shows up, you’ve got a compliance issue. Pay the $125 to $199 per year and use a professional service.
Forming in the wrong state. I’ve talked to nomads who formed in California because they used to live there, not realizing California charges an $800 annual franchise tax even if you have zero revenue. When you don’t live in any US state, you have the freedom to choose the most business-friendly option. Use it.
Not getting the EIN right away. Some people form their LLC and then wait months to get an EIN, which means they can’t open a bank account or set up payment processing. Get your EIN immediately after your LLC is approved. According to the IRS EIN application page, the online process is instant for US-based applicants and takes about two weeks by fax for international applicants.
Mixing personal and business finances. This is the fastest way to lose your LLC’s liability protection. Keep a separate business bank account from day one. Every business expense goes through the business account. Every personal expense goes through your personal account. No exceptions.
How to Find Suppliers Once Your LLC Is Set Up
With your LLC formed, your EIN in hand, and your business bank account open, you’re ready to start contacting suppliers. For high-ticket dropshipping, this means reaching out to US-based manufacturers and requesting authorized dealer agreements.
Having an LLC makes a massive difference in supplier conversations. When you email a manufacturer with your LLC name, EIN, and business bank account information, you look like a professional retailer. Can I form a US LLC if I’m not a US citizen?
Yes. There is no citizenship or residency requirement to form an LLC in any US state. Non-US citizens form US LLCs every day for ecommerce businesses, real estate, and other ventures.
